These Terms of Service ("Terms") govern your access to and use of the ChargeGuard application and website at https://chargeguardapp.com (together, the "Service"), operated by Berdibekov Solutions ("ChargeGuard," "we," "us," or "our"). By installing, accessing, or using the Service, you ("you," "merchant," or "user") agree to be bound by these Terms. If you do not agree, do not install or use the Service.

1. THE SERVICE

ChargeGuard is a Shopify application that helps merchants manage payment disputes and chargebacks. Features may include automatic dispute detection from Shopify Payments, automated collection of order evidence, response-deadline tracking, AI-assisted dispute response letters, one-click evidence submission, order risk scoring, a customer blacklist, an analytics dashboard, and email alerts. We may add, modify, or remove features at any time.

2. ELIGIBILITY

You must be at least 18 years old and operate a valid Shopify store to use the Service. By using the Service, you represent that you have the authority to bind the business on whose behalf you are acting and that the information you provide is accurate.

3. LICENSE AND ACCEPTABLE USE

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own business purposes, subject to these Terms. You agree not to:

  • Copy, modify, reverse-engineer, decompile, or attempt to extract the source code of the Service
  • Resell, sublicense, or otherwise commercially exploit the Service without our written permission
  • Use the Service to violate any law, card-network rule, or Shopify policy, or to submit false, fraudulent, or misleading dispute evidence
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its infrastructure
  • Use the Service to process data you are not authorized to access

4. FEES

ChargeGuard is currently free to install and use. We reserve the right to introduce paid plans or features in the future. If we do, we will provide notice in advance and you may choose whether to continue using any paid features. Any billing for future paid plans would be handled through Shopify's billing system, subject to Shopify's terms.

5. SHOPIFY AND THIRD-PARTY SERVICES

The Service depends on Shopify, Shopify Payments, and may interact with Stripe and other third-party providers (including Resend, Supabase, Railway, Anthropic, and Sentry). Your use of those services is governed by their own terms and policies. We are not responsible for the availability, accuracy, or actions of any third-party service, and we are not affiliated with, endorsed by, or sponsored by Shopify Inc. or any payment network.

6. NO GUARANTEE OF OUTCOMES

ChargeGuard is a tool that helps you organize, prepare, and submit dispute responses. We do not guarantee any particular result, win rate, recovered amount, or chargeback ratio. Final decisions on disputes are made by card networks, issuing banks, Shopify Payments, and/or Stripe — not by ChargeGuard. We do not guarantee that using the Service will keep your chargeback ratio below any threshold or prevent any account suspension, freeze, or termination by Shopify or a payment processor.

7. NOT LEGAL OR FINANCIAL ADVICE

The Service, including any AI-generated response letters, risk scores, templates, and analytics, is provided for informational and operational convenience only and does not constitute legal, financial, tax, or compliance advice. AI-generated content may contain errors and is provided as a draft for your review. You are solely responsible for reviewing, verifying, and approving any content, evidence, or decision before it is submitted or acted upon.

8. YOUR RESPONSIBILITIES

You are responsible for:

  • The accuracy and legality of all evidence and information you submit through the Service
  • Reviewing AI-generated letters and any auto-collected evidence before submission
  • All decisions to fulfill, cancel, refund, or block orders — risk scores and blacklist entries are advisory only
  • Meeting dispute deadlines; while ChargeGuard provides reminders, you remain responsible for responding on time, and we are not liable for missed deadlines, including where Shopify or Stripe data is delayed or unavailable
  • Maintaining the security of your Shopify account and any credentials used with the Service
  • Your compliance with all applicable laws, card-network rules, and Shopify policies

9. DATA AND PRIVACY

Our collection and use of data is described in our Privacy Policy at https://chargeguardapp.com/privacy, which is incorporated into these Terms by reference. You represent that you have all necessary rights and consents to allow us to process the store, order, and customer data accessed through the Service.

10. INTELLECTUAL PROPERTY

The Service, including its software, design, and content (excluding your store data), is owned by Berdibekov Solutions and protected by intellectual-property laws. These Terms do not transfer any ownership rights to you. You retain all rights to your own store and customer data.

11. DISCLAIMERS

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. We do not warrant that the Service will meet your requirements or that defects will be corrected.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BERDIBEKOV SOLUTIONS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, CHARGEBACK AMOUNTS, FEES, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $50. Because the Service is currently free, you acknowledge that this limitation may result in no recoverable damages.

13. INDEMNIFICATION

You agree to indemnify and hold harmless Berdibekov Solutions from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, your submission of inaccurate or fraudulent dispute evidence, or your violation of any law or third-party right.

14. TERMINATION

You may stop using the Service at any time by uninstalling the app from your Shopify admin, which triggers deletion of your store data as described in our Privacy Policy. We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or to protect the Service or other users. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, and Indemnification) will survive.

15. CHANGES TO THE SERVICE AND THESE TERMS

We may modify the Service or these Terms at any time. When we make material changes to these Terms, we will update the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. GOVERNING LAW

These Terms are governed by the laws of the Kyrgyz Republic, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in Bishkek, Kyrgyz Republic, unless otherwise required by applicable mandatory law in your jurisdiction.
